For founders planning a listing, the equity story now has to stand up in front of fund managers, not just retail investors.

India’s SME platforms are no longer a side door to the market. By SEBI’s count, 1,496 companies have listed on them, 365 have moved to the main board, and SME IPOs have raised ₹40,222 crore. The listed SME universe is worth about ₹4,70,984 crore (data as of 31 July 2026).

Growth on that scale brings scrutiny. On 14 October 2026, SEBI published a consultation paper proposing the biggest reset of the SME IPO framework since the March 2025 amendments. The direction is clear: fewer, stronger issuers, a wider and more institutional investor base, and less artificial support after listing.

These are proposals, not law. The current ICDR rules apply until an amendment is notified. But any founder with a listing on the horizon should plan as if most of this will arrive, because the changes reward exactly the preparation that good investor relations is built on.

What SEBI has proposed

The paper touches almost every stage of an SME issue, from eligibility to the first year of trading. The changes that matter most to a founder:

Area

Today

Proposed

Profit test

Operating profit of ₹1 crore in any two of the last three years

Average operating profit of at least ₹3 crore a year over three years, on restated consolidated financials

If you miss the profit test

No SME listing

New QIB-led route: book-built issue, at least 75% of the net offer to QIBs, full refund if not met

Who qualifies as SME

Post-issue paid-up capital up to ₹10 crore (optional to ₹25 crore)

Post-issue market capitalisation up to ₹1,000 crore (optional to ₹4,000 crore)

Minimum application

Two lots, above ₹2 lakh

Four lots of ₹25,000 each, ₹1 lakh minimum

Minimum allottees

200

500

Trading lot

Fixed by price band, from 100 to 10,000 shares

One share

Anchor investors

Not provided for in the SME allocation

Up to 60% of the QIB portion

Underwriting

100% of the issue

Only the unsubscribed portion, as on the main board

Market making

Compulsory for three years after listing

No compulsory market maker

General corporate purposes

Lower of 15% or ₹10 crore

15%, with the ₹10 crore cap removed

Lock-in for non-promoter pre-IPO shares

One year

Six months

SEBI’s own reasoning is telling. It found that paid-up capital says little about a company’s real size, that odd-lot holdings and large trading lots keep institutions away, and that underwriting has been taking roughly 38% to 50% of SME issue expenses.

What really changes: institutions walk into the room

Read the proposals together and one theme stands out. SME IPOs are being redesigned for institutional money.

The QIB-led route lets a growth company list without three years of profit, but only if fund managers take at least 75% of the offer. Miss it, and the money goes back.

Anchor allocations of up to 60% of the QIB book mean serious capital will be committed before the issue opens, by investors who do their own work.

A one-share trading lot removes one of the biggest practical barriers for institutions buying and holding SME stock.

Institutions ask different questions from retail investors. They will test your margins against peers, your customer concentration, your working capital cycle and your use of proceeds. They will compare what you say in the roadshow with what you said in the DRHP, and with what you say two quarters after listing.

The second shift is quieter but just as important. Without a compulsory market maker, liquidity after listing has to come from genuine investor interest. A company that goes silent after listing day will see it in its trading volumes.

Before listing: build a story that survives scrutiny

In our experience, the preparation that matters most starts 6 to 12 months before the DRHP is filed. Under the proposed rules, five things deserve early attention.

Know which route you are on. Run the new profit test on restated consolidated numbers now. If you fall short, the QIB-led route is open, but it needs an institutional story from day one.

Get the numbers investor-ready. Restated consolidated financials, clean related-party disclosures and a clear bridge between reported profit and cash flow are what an analyst will look for first.

Write the equity story on one page. What the business does, why it wins, how it will grow, and how the money raised will be used. If it cannot be said simply, it will not be repeated accurately.

Prepare for the hard questions. Margins, customer concentration, promoter pledges, receivables and peer valuations. Rehearse the answers with your CFO before an anchor investor asks them.

Build disclosure habits early. Decide who speaks for the company, what you will report and how often. The habits you form before listing are the ones investors will judge you by after it.

We set out the stage-by-stage timeline in our earlier guide, Investor Relations for SME IPOs: What to Plan Before and After Listing, and the media side of a listing in The Listing Story: How PR Can Make or Break an SME IPO.

Planning an SME listing under the new rules?

Our IR desk builds equity stories, answer banks for anchor and QIB meetings, and listing-day materials alongside your merchant banker and counsel.

Talk to our IR desk

After listing: liquidity has to be earned

Listing day is the start of the relationship with your shareholders, not the end of the project. With no market maker to support trading, that relationship is what keeps the stock liquid.

Report on time, every time. Half-yearly results should come with a short, plain explanation of what changed and why, not just the statutory format.

Keep the same yardsticks. Choose the two or three metrics you want to be judged on, and report them the same way every period.

Stay visible to analysts. A results call, a regular investor update and an open door for research houses keep coverage alive between results.

Be consistent. Guidance given in the roadshow should be tracked, met or explained. Institutions remember.

Plan the main-board move. With migration linked to market capitalisation, a company that grows past ₹1,000 crore will have the option to move up, and the investor base it built on the SME platform will travel with it.

Over more than two decades of investor relations work, engaging with the top 200 brokerages, research houses and funds, we have seen the same pattern repeat. Companies that communicate consistently get the benefit of the doubt in a weak quarter. Companies that go quiet do not. We made the same case for listed companies in Volatile Markets Demand Visible Managements.

My view

I welcome the direction of this paper. A higher bar, a wider shareholder base and an end to artificial liquidity support will make the SME platform more credible, for issuers and investors alike. What it will not do is make listing easier.

For founders, the message is simple: the market will reward companies that are ready to be examined. That readiness is built long before the bell rings, and it is sustained by honest, regular communication long after.

SEBI is accepting public comments on the paper until 4 November 2026. If you are planning an SME listing in the next 12 to 24 months, now is a good time to review your readiness.

Frequently asked questions

Are SEBI’s new SME IPO rules in force?

No. They are proposals in a consultation paper dated 14 October 2026. The current ICDR rules, as amended in March 2025, apply until an amendment is notified.

What is the proposed profit test for an SME IPO?

An average operating profit of at least ₹3 crore a year over the three preceding financial years, on restated consolidated financials. Today it is ₹1 crore in any two of three years.

Can a company that misses the profit test still list on the SME platform?

Under the proposal, yes, through a book-built issue in which at least 75% of the net offer goes to QIBs. If that is not achieved, the whole subscription is refunded.

Will SME IPOs still need a market maker?

SEBI has proposed removing the compulsory three-year market-making requirement. Liquidity after listing would then depend on genuine investor interest.

When should an SME start investor relations work?

Six to 12 months before filing the DRHP, to build the equity story, prepare spokespeople and set disclosure habits.

Listing in the next 12 to 24 months?

Finese PR’s IR desk in New Delhi helps founders and CFOs build the equity story, prepare for anchor and QIB meetings, and plan communication after listing.
