For most companies, an SME IPO is their first conversation with public-market investors. The platforms are busy: 80 SME IPOs raised ₹3,791.67 crore in July–September 2026, almost double the previous quarter (B2K Analytics). Of those, 51 listed at a premium and 19 at a discount. In a crowded market, how clearly a company explains itself matters.

What changed in the rules

SEBI tightened the SME IPO framework in March 2025:

  • EBITDA of at least ₹1 crore in two of the three years before filing.
  • Offer for sale capped at 20% of the issue; selling shareholders can sell no more than half their holding.
  • No repaying promoter or related-party loans from IPO proceeds.
  • Minimum application of ₹2 lakh (two lots).
  • The DRHP is open for public comment for at least 21 days.

Each change shapes what investors ask. They will probe the quality of earnings, expect a growth-capital story rather than a promoter exit, and, with a ₹2 lakh minimum, read the DRHP closely.

The investor relations timeline

StageWhat to have ready
6–12 months before the DRHPA one-page equity story, a clean public profile, and media training for the promoter and CFO.
DRHP and offer periodEvery public statement checked against the DRHP, and publicity cleared by the lead manager and counsel.
Listing dayA listing announcement, a short investor presentation and a named investor contact.
First yearHalf-yearly results within 45 days of each half-year end, and updates on use of proceeds.
Years two and threeA steady disclosure record that supports a main-board move.

Before the IPO: build the equity story

The equity story answers five questions on one page: what the company does, why it will grow, how the money will be used, which risks management is handling, and which numbers prove it. The DRHP, presentation, press release and interviews should all match it.

Prepare the promoter and CFO for the questions every SME roadshow brings: margins, receivable days, customer concentration, debt after the issue, related-party transactions, use of proceeds, capacity and order book, and why list now. Keep answers short, numerical and consistent with the offer document.

During the offer and on listing day

Publicity during the offer is regulated. Keep to disclosed facts, and clear advertisements and interviews with the lead manager and counsel. Publicity that looks designed to push demand or the share price draws regulatory attention.

On listing day, investors will search for you. Make sure they find the announcement, a presentation, the latest financials and someone who answers emails.

After listing: fill the gaps between results

SME companies report every six months, which leaves long silences. Announce results dates early and keep them. Explain each result with a one-page note or short call. Report progress on the IPO money. Build relationships with small-cap funds, PMS desks, family offices and HNI networks before you need them.

For the main board, NSE’s criteria include three years on NSE Emerge, average market capitalisation and revenue of at least ₹100 crore each, and at least 500 public shareholders. Investors who already know the company make that step easier.

Common mistakes

  • Going silent after listing. The first year sets expectations.
  • Promotional claims before disclosure. Price-sensitive news goes to the exchange first.
  • Treating PR and IR separately. Media and investors read the same headlines.
